Bosch Ltd has approved the acquisition of a 100% stake in Bosch Chassis Systems India Private Limited (RBIC). The acquisition will make RBIC a wholly owned and material subsidiary of Bosch Ltd. The deal involves purchasing shares from Robert Bosch Investment Nederland B.V. (RBNI), Netherlands, and Robert Bosch LLC, USA. The total consideration for the transaction will not exceed ₹9,068.68 crore. The acquisition will be executed through a share purchase agreement among Bosch Ltd, RBNI, Robert Bosch LLC, and RBIC. Payment will include both cash and non-cash components.

Details of the Acquisition
Bosch Ltd will issue 1,230 equity shares with a face value of ₹10 each at a price of ₹35,200 per share. This price includes a premium of ₹35,190 per share. The shares will be issued on a preferential basis to RBNI and Robert Bosch LLC, both part of the Bosch promoter group. The consideration for these shares will be other than cash. This step forms part of the overall acquisition plan to consolidate RBIC under Bosch Ltd.

RBIC is an automotive components company that focuses on chassis systems. Its portfolio includes braking, steering, and safety technologies for both passenger and commercial vehicles. RBIC supports the localization of global technologies and helps meet vehicle safety and performance standards in India. Recently, Bosch and Tata AutoComp Systems Limited announced plans to form a 50:50 joint venture in India. The joint venture will manufacture and supply e-axles and electric traction motors. This move aims to strengthen Bosch’s position in the growing Indian e-mobility market.
The segment is targeting revenue of ₹50 crore in FY27, which represents a projected growth of about 122% over FY26. Currently, this segment accounts for about 2-2.5% of the overall market, particularly for vehicles priced at ₹40 lakh and above.
