Mahindra acquires a full stake in SML Isuzu and rebrands as SML Mahindra
Mahindra takes control of SML Isuzu with a 58.96% stake acquisition, launching SML Mahindra and accelerating its push into India’s commercial vehicle market through strategic leadership and expanded product innovation.

Mahindra & Mahindra Ltd (M&M) has made headlines once again; the Indian automotive brand is planning to enter a new era in India’s commercial vehicle market. Mahindra has announced that the organization has acquired a 58.96% controlling stake in SML Isuzu. This acquisition comes with a total investment of Rs 555 crore. After the acquisition, SML Isuzu will be renamed SML Mahindra Limited after all regulatory approvals.
This Rs 555 crore acquisition, executed at Rs 650 per share, not only signifies Mahindra’s underlying commitment to the commercial vehicle segment. The company said, It is a big step towards establishing a strong presence in the 3.5T commercial vehicle segment, where the company has 3% market share when compared to 54.2% market share in the sub-3.5-tonne light commercial segment.
Strategic Leap and Immediate Impact
Upon formalizing the deal with Sumitomo Corporation, Japan, and Isuzu Motors Limited, Mahindra will now move forward to rename the brand as SML Mahindra Limited. As per the recent reports, M&M would also launch a mandatory open offer for the acquisition of an additional 26% stake from the public shareholders of SML, in accordance with SEBI Takeover Regulations.
With the above agreement proposal, this acquisition is said to increase the market share to 6% under the company’s plan to increase the market share to 10%-12% in the upcoming financial year. Mahindra will also acquire the remaining 43.96% of Sumitomo Corporation, the promoter of SML.

Leadership Realignment
Mahindra & Mahindra has reconstructed SML Mahindra’s board and appointed Vinod Sahay as the Executive Chairman of SML Isuzu with effect from August 3. The brand also appointed Dr. Venkat Srinivas as the Executive Director and Chief Executive Officer of SML Isuzu from August 1, 2025.
This alignment ensures SML Mahindra will tap deep veins of technical and operational expertise for a seamless transition and robust future expansion. However, Vinod Sahay will continue to serve as president for the Aerospace & Defence, trucks, buses, and construction equipment while taking up a new role in Mahindra. Even Dr. Venkat Srinivas will continue to serve in his new role as the Business Head for Mahindra Truck & Bus while taking up another role at SML Mahindra Limited.
SML Isuzu further plans
SML Private Limited was founded in 1983 as a pan-India network. It holds a 16% share in the light commercial vehicle segment. The acquisition positions Mahindra to leverage Japanese engineering prowess, advanced supply chains, and SML’s legacy bus platforms, accelerating its drive into clean-energy commercial vehicles. With a new partnership with Mahindra, SML Isuzu will enter a new phase with all-new reconstituted leadership and a huge investment under Mahindra’s portfolio.
